Term of service
Welcome, and thank you for your interest in Mehub. By registering for a Mehub account (as defined in Section 1) or using any services offered by Mehub, you agree to be bound by the following terms and conditions (hereinafter referred to as the “Terms of Service”).
By using or accessing the Services, you confirm that you have read and understood these terms, and as a condition of using the Services, you agree to be bound by the following terms, including Mehub's Privacy Policy (collectively referred to as the “Terms”). If you do not qualify or do not agree with these terms, you are not permitted to use or access the Services.
If you are a resident or have your primary place of business in the United States, including any territories or possessions of the United States (collectively referred to as “the U.S.”), you agree to this Agreement with Mehub, Inc. and are referred to as a “U.S. User.” Otherwise, you agree to this Agreement with Mehub as a “Non-U.S. User.” References to “Mehub,” “we,” and “our” mean Mehub, Inc. if you are a U.S. User, or Non-U.S. User if you are a Non-U.S. User. If your residence or primary place of business changes, the Mehub entity with which you contract will be determined based on your new residence or primary place of business as stated above, effective from the date of the change. Additionally, some services may be provided to you by a company within the Mehub group other than Mehub, Inc. or “Non-U.S. User” and may be subject to additional terms directly between you and that Mehub group company; such additional terms will specify the name of the company, and you will contract solely with that company regarding those terms and services.
Mehub has made every effort to ensure that this Agreement is fair and easy to understand, but we are always open to your feedback. If you have any questions or suggestions, please feel free to contact Mehub at team@mehub.one.
1. Account Registration
1.1. Registration. To use the services, you must first create an account. You can create multiple “Hubs” with one account, and you will be required to provide us with some information about yourself, such as your name, email address, or other contact information. We may need to use this information to contact you or provide you with updates about Mehub.
1.2. Keeping Your Account Safe. When registering, you will be asked to create a password. Please protect your Account and ensure that no one else can access your Account, password, or other credentials. You are fully responsible for all activities on your Account and for maintaining the confidentiality and security of your password. If you suspect that your account is no longer secure, please contact Mehub immediately at team@mehub.one.
1.3. Eligibility to Use Mehub. The Services are not intended for and may not be used by children under 16 years of age. By using the Services, you represent that you are at least 16 years old. If you are under 16, you need the consent of a parent or guardian for this agreement, or they may need to sign the agreement on your behalf.
2. Your Responsibilities
2.1. Use Only Content You Have the Right to Use. You represent and warrant that you own all rights related to your user content or have sufficient authority to use, share, display, transfer, and license that content through the Services, in accordance with the terms of this Agreement. If we use your content in the ways described in the Agreement, you ensure that such use does not violate or infringe upon the rights of any third party, including but not limited to intellectual property rights, copyrights, trademarks, privacy rights, publicity rights, contractual rights, or any other rights. Additionally, content on the Services may be protected by the intellectual property or other rights of others. Please do not copy, upload, download, or share content unless you have the legal right to do so.
2.2. Compliance with Laws. You represent and warrant that your use of the Services complies with all applicable laws, including but not limited to export control laws and related sanctions.
2.3. Responsible Sharing. The Services allow you to share user content across various platforms, including social media and public websites. Therefore, be cautious when deciding to share your content. We are not responsible for what you choose to share through the Services.
2.4. Compliance with Acceptable Use Policy. You must comply with our Acceptable Use Policy (incorporated herein by reference). You warrant that your content and your use of the Services comply with this policy.
2.5. Creator Site. Your site may have its own users, visitors, and customers (“End Users”). You understand and agree that: (a) Your site and End Users are your responsibility; (b) you are solely responsible for providing products, services, and support to End Users; (c) you must comply with all laws or regulations relating to your site and/or End Users; (d) the creation, sharing, or operation of your site may be limited by the extent to which your site includes licensed content (as described in our Acceptable Use terms); (e) you may create your own terms of service for End Users. These terms will not involve Mehub, meaning that Mehub will not and is not a party to these terms. We are not responsible and will not provide legal advice regarding your site or your End Users.
2.7. Custom Code. Mehub allows you to add custom code snippets to your site. This code will be considered your user content, and you are fully responsible for it. Ensure that you have sufficient coding knowledge to use this feature safely.
3. Mehub's Rights
3.1. Mehub Provides Services to You. However, not all services or features are available to every creator. We are not obligated to provide any service or feature in a specific jurisdiction. We reserve the right to change the services or modify any part of the services for any reason without prior notice.
3.2. Mehub Does Not Pre-Screen Content. We have the right to refuse or remove any Content from the Services if we believe that the goods or services you provide through the Services, or any Content you upload or post on the Services, violate the Acceptable Use Policy (AUP) or these Terms of Service.
3.3. Ownership Disputes. Occasionally, the ownership of an Account or website may be disputed between parties. However, we have the right, at any time and at our sole discretion, and without notifying you, to determine the legal ownership of an Account or website and transfer the Account or website to that owner. Our decision on this matter is final. If we feel that we cannot reasonably determine the legal owner, we reserve the right to suspend the Account or website until the disputing parties reach a resolution.
3.4. Abuse and Harassment. Any written or verbal abuse in any form (including threats, harassment, or retaliation) towards Mehub employees or members will result in the immediate termination of your Account.
4. Purchasing Products
4.1. Ordering. Users can purchase Products or Memberships or make Donations to you on your Website. Each Order is a direct transaction between you and the End User. Mehub provides services and functionalities through the Services to support transactions between you and the End User, but you acknowledge and agree that Mehub is not a party to any purchase transaction between you and the End User.
4.2. Supplier. When an End User orders a Product through your Website, the Services will automatically send an order for the Product to the appropriate third-party manufacturer (“Supplier”) on your behalf, if applicable. For some Products, the Services may allow you to choose which Supplier will produce the Product on your behalf, or you may produce the Product yourself. You acknowledge and agree that purchasing Products from a Supplier is a direct transaction between you and that Supplier, and Mehub is not a party to any transaction or any agreement between you and the Supplier. Mehub will not be liable for any Products, Product Orders, agreements, or terms between you and the Supplier.
4.3. Logistics Services. Mehub may provide services to assist in the shipping of Products that you have produced yourself or through a third-party manufacturer and may provide storage for these manufactured Products (collectively referred to as “Logistics Services”). You are fully responsible for producing and delivering the manufactured Products to the address agreed upon with Mehub, including all related costs. Mehub will not be liable for any damage or loss of the manufactured Products caused by the carrier or due to inaccurate shipping information. Under these Terms, you retain ownership of all manufactured Products.
4.4. Shipping. Mehub will make every effort to assist in shipping your products to customers unless you request otherwise. Mehub will deduct the shipping costs from the amount you have received. Shipping fee information will be transparently provided by Mehub to you at checkout. For any shipping of Products not carried out by Mehub, you will be entirely responsible.
4.5. Returns and Refunds. You must accept (and Mehub will accept on your behalf) all return requests from End Users within 30 days from the Product Order for Products that are defective and covered by the Supplier's warranty. Mehub does not accept returns or refunds for non-defective Products. Additionally, you may decide to accept returns and provide refunds to End Users for any reason at your discretion. You will be fully responsible for and bear all costs associated with any refunds you provide to End Users.
5. Creator Site Fees and Payment Terms
5.1. Payment Processing. Mehub will process and receive payments from End Users for all Product Orders, Memberships, and Donations made through your Website. When you receive payment from an End User in a currency other than the US Dollar, Mehub will convert that payment to US Dollars at the rate published by Open Exchange Rates Ltd. (https://openexchangerates.org/), and the End User will incur an additional fee (referred to as the “Conversion Fee”) to protect against exchange rate fluctuations. The Conversion Fee may change over time at Mehub's discretion. Mehub reserves the right to refuse or process any payment that Mehub believes violates these Terms or shows signs of fraud.
5.2. Fees. Mehub will deduct the following from your Product Revenue and Donation Revenue (as defined below): (a) 3% on all revenue from digital products (“Digital Product Fee”); (b) 5% on all revenue from Memberships (“Membership Fee”); (c) for each credit card payment made by you or on your behalf, or by an End User through your Website, (i) a processing fee of 2.9% plus 30 cents if the credit card is issued by a domestic organization, or (ii) a processing fee of 3.9% plus 30 cents if the credit card is issued by a foreign organization; (d) for each PayPal payment made by you or on your behalf, or by an End User through your Website, (i) a processing fee of 3.9% plus 30 cents for domestic transactions, or (ii) a processing fee of 4.4% plus 30 cents for international transactions; (e) Shipping Fees; (f) Conversion Fees, if applicable; (g) all types of taxes collected by Mehub related to your Product Revenue and Donation Revenue, including sales tax and value-added tax; and (h) all amounts for refunds, returns, credits, reimbursements, and fraudulent transactions, if any (the terms from “(a)” to “(h)” are collectively referred to as "Fees").
5.3. Payments to You. Within 7 business days after the end of each calendar month, Mehub will pay you the Product Revenue and Donation Revenue that Mehub has received in that month, after deducting all Fees for that month. Mehub has the right, at its sole discretion, to withhold or exclude any payment to you if: (a) the amount relates to a violation of these Terms; (b) Mehub believes the amount is fraudulent; or (c) necessary to comply with any laws, regulations, or rules. “Product Revenue” is all amounts that Mehub receives related to Product Orders, after deducting all liabilities to Suppliers for the Products sold under those Orders. “Donation Revenue” is all amounts that Mehub receives related to Donations made through your Website.
5.4. Payment Threshold. Mehub will not be obligated to pay you if the total amount you are entitled to under these Terms is less than $100 (“Payment Threshold”). All amounts below the Payment Threshold will accumulate until the total amount you are entitled to meets or exceeds the Payment Threshold.
5.5. Payment Information. Mehub will pay you any amounts under these Terms through the payment method you select from the available payment options through the Services. To ensure accurate payment, you are responsible for providing and maintaining accurate contact and payment information through the Services.
5.6. Currency. All payments made by Mehub under these Terms will be made in US Dollars. If Mehub must make a payment in a currency other than US Dollars, Mehub will use an exchange rate at its discretion and may charge fees or costs for the conversion.
5.7. Taxes. In addition to net income tax that Mehub is liable for, you will bear all types of taxes, fees, and other government charges (collectively referred to as “Taxes”) arising from these Terms, including all taxes related to transactions and payments made through the Services or under these Terms. Mehub will deduct from your Product Revenue and Donation Revenue all costs associated with Mehub calculating and collecting sales tax and value-added tax applicable to Product Orders or Donations, as the case may be, and paying these taxes to the appropriate tax authority. For sales tax purposes, Mehub will act as the principal merchant.
5.8. Right of Offset; Overpayments. Mehub has the right to offset refunds, returns, or other debts you owe to Mehub against amounts Mehub owes you. If any overpayment has been made to you for any reason, Mehub has the right to adjust or offset that against any amounts owed to you under these Terms.
6. Licenses
6.1. Restricted License. Provided that you fully and continuously comply with these Terms, Mehub grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services.
6.2. License Restrictions. Except where such restrictions are not permitted by applicable law, you may not: (a) copy, distribute, publicly display, or publicly perform the Services; (b) make any modifications to the Services; or (c) interfere with or circumvent any feature of the Services, including security mechanisms or access controls. If you are prohibited from using the Services under applicable law, you are not permitted to use them.
6.3. Feedback. If you choose to provide comments and suggestions regarding any issues or modifications, improvements to the Services, or if End Users of the Services provide any such feedback, you grant Mehub an unlimited, perpetual, irrevocable, non-exclusive, fully paid-up, royalty-free right to exploit such Feedback in any manner and for any purpose, including to improve the Services and create other products and services.
7. Mehub's Ownership Rights
The Services are owned and operated by Mehub. All interfaces, graphics, designs, compilations, information, data, computer code (including source code or object code), products, software, services, and all other elements of the Services provided by Mehub are protected by intellectual property laws and other laws. All Materials contained in the Services are the property of Mehub or its third-party licensors. Unless authorized by Mehub, you may not use the Materials. Mehub reserves all rights to the Materials not explicitly granted in these Terms. Materials do not include Your Content as referred to in Section 10. Mehub does not own your content.
8. Privacy
8.1. "Confidential Information" includes, but is not limited to, all information related to a party's business operations that is not publicly available, such as processes, technical formulas, customer lists, sales, costs, price lists, business plans, and undisclosed financial information.
8.2. Privacy Policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy. However, this is not a contractual document and we may change it over time.
8.3. Confidential Information Usage and Protection. Each party may only use the other party's confidential information as necessary to fulfill obligations under these Terms. Each party agrees to take reasonable measures to protect the confidential information and not to allow copying, disclosure, or use of that information, except: (a) to provide to employees, agents, or contractors who need access to fulfill their obligations, and these individuals must also comply with similar confidentiality obligations; (b) as required by law or court order, provided timely notice is given to the disclosing party and efforts to protect confidentiality are made.
9. Third-Party Terms
9.1. Third-Party Services. The Services may integrate with various third-party services and applications (collectively, "Third-Party Services") that may provide their content, products, or services to you. Some services include domain registration services, store integrations, or simpler options like linking your account with social networks like Twitter or Facebook. These Third-Party Services may have their own terms and policies, and your use of them will be governed by those terms and policies. We are not responsible for that. Therefore, before deciding to use third-party services, please carefully review their terms.
9.2. Third-Party Websites. The Services may also contain links to third-party websites, and Mehub is not responsible for the content of those websites.
9.3. Third-Party Software. The Services may use or incorporate third-party software. While you use this service under the defined terms, this does not prevent you from obtaining and using third-party software under their licenses. In other words, you still have the right to use third-party software without being limited by the terms of this service.
10. Intellectual Property/Your Content
10.1. User Content. Some features of the Services allow you to choose a unique domain for your Creator page and upload content such as product designs, artwork, messages, reviews, images, videos, text, and other types of digital content. You retain the copyright and ownership rights to the User Content you post.
10.2. Limited License to Mehub and Third-Party Service Providers. When you provide User Content through the Services, you grant Mehub and third parties a worldwide, non-exclusive, royalty-free right to store, display, distribute, and modify that content to provide the Services.
10.3. Limited License to Other Users. When you share User Content with other users on the Services, you grant them the right to use that content according to the terms and functions of the Services.
10.4. Representations and Warranties Regarding User Content. Mehub is not responsible for User Content. You are fully responsible for your content and the consequences of providing it. By providing User Content, you represent that: (a) you are the creator and owner of the content, or have the necessary rights to allow Mehub and other users to use this content; (b) your content does not violate any rights of third parties; (c) the content must comply with our Acceptable Use Policy.
10.5. Statement Regarding User Content. Mehub has no obligation to edit or control User Content that you or others post. However, Mehub has the right to block or remove any content that it deems violates these Terms. You understand that when using the Services, you may encounter inaccurate or objectionable content. You waive any claims against Mehub related to User Content.
10.6. Content Monitoring. Mehub has no obligation to monitor Creator pages or User Content. However, Mehub has the right to monitor information through the Services for operational purposes. If Mehub chooses to monitor, we are not responsible for the content or any losses arising from the use of the content. During monitoring, information may be reviewed and used according to our Privacy Policy.
11. DMCA Notice and Takedown Procedure
Mehub respects and is committed to protecting intellectual property rights, as well as requiring Creators on the platform to comply with this regulation. We adhere to the provisions of the Digital Millennium Copyright Act (DMCA) applicable to Internet service providers (17 U.S.C. §512, as amended). If there are reports of intellectual property rights violations, please contact Mehub at team@mehub.one. Upon verification, Mehub will immediately terminate the accounts of users identified as repeat offenders.

12. Changes to Terms and Modifications to the Service
12.1. We have the right, at our sole discretion, to update or change any part of the Terms of Service at any time. If there are significant changes affecting your use of the Service or your rights, Mehub will notify you via the email you provided when registering your account (and that you updated when you edited it).
12.2. Unless otherwise stated, changes will take effect immediately upon posting here. Your continued use of the Service after notification or after the updated Terms will be considered acceptance of the changes. If you do not agree, you must stop using the Service.
12.3. Mehub may also adjust the Fees for the Services and the Service. We will provide you with 30 days’ notice of any changes to the fees via email. Mehub is not responsible for any changes, including price changes, suspension, or discontinuation of the Service.
13. Term and Termination
13.1. Term of Effect. These Terms are effective when you accept or first download, install, access, or use the Service, and will terminate as provided in Section 13.2.
13.2. Termination. If you violate any terms, your access to the Service will automatically terminate. Additionally, Mehub has the right to terminate these Terms or your account, suspend or terminate access to the Service at any time and for any reason, with or without notice. You may terminate your account and these Terms at any time by contacting us via email at team@mehub.one.
Upon termination, you must: (a) your licensing rights will terminate, and you must immediately stop using the Service; (b) you will no longer be allowed access to your account or the Service; (c) your Creator page will be disabled; (d) you must pay Mehub any amounts owed; (e) Mehub will pay you any undisputed amounts owed under these Terms;
13.3. Unused Created Products: In the event of termination, you will be responsible for any reasonable costs to return the created products. Your products will only be released when all fees have been paid in full. If you do not pay in full within 120 days, Mehub has the right to sell any products on hand to settle outstanding debts in accordance with the law.
14. Indemnification
You agree to indemnify Mehub in the event of any claims against us related to your use of the Service, violations of these Terms, disputes with third parties, or your products.
To the maximum extent permitted by law, you are responsible for your use of the Service and will defend and indemnify Mehub and our officers, directors, employees, consultants, affiliates, subsidiaries, and agents from any claims by third parties, as well as any liabilities, damages, losses, and related costs, including reasonable attorney’s fees, arising from or related to:
(a) your use of the Service without permission or for unauthorized purposes;
(b) your violation of any part of these Terms, any representations, warranties, or agreements mentioned in these Terms, or any applicable laws or regulations;
(c) your infringement of third-party rights, including intellectual property rights, publicity rights, confidentiality rights, or other privacy rights;
(d) any disputes or issues between you and any third party; or
(e) any products.
We have the right, at our own expense, to assume the exclusive defense and control of any matter for which you are responsible for indemnification (without limiting your indemnification obligations regarding that matter), and in that case, you agree to cooperate with us in defending such claims.
15. Disclaimers
15.1. To the maximum extent permitted by law, Mehub does not guarantee the Service, including any express or implied terms. The Service is provided "as is" and "as available." Mehub disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement. Mehub does not guarantee that the Service will: (a) always operate continuously and without errors; (b) meet your needs fully; or (c) be free from viruses or harmful components.
15.2. Exceptions. In some jurisdictions, the disclaimers in Section 12.1 may not apply. However, these disclaimers will still be in effect to the maximum extent permitted by law. You may have other legal rights, and this Agreement does not affect your rights under current law. The warranty period under the law will be limited to the maximum extent permitted by law.
16. Limitation of Liability
Unless you are an EU Consumer (*), you agree that to the fullest extent permitted by law, Mehub and its affiliates, along with its directors, officers, employees, and agents, shall not be liable for any claims arising from or related to the Services or this Agreement, including:
(a) Indirect, special, incidental, punitive, or consequential damages.
(b) Loss of profits, revenues, data, goodwill, or any other intangible losses.
(c) Loss related to accessing, using, or the inability to access or use any part, amount, or all of your Account, Website, or Services.
(d) Loss related to unavailability, loss, corruption, theft, unauthorized access, or unauthorized alteration of content, information, or data.
(e) User Content or the actions of any users or third parties using the Services, including defamatory, offensive, or illegal conduct.
(f) Services or third-party websites accessed through the Services.
If you are an EU Consumer, we will provide the Services with reasonable care, but we shall not be liable for any loss that is not a reasonably foreseeable consequence of a breach of this Agreement (except in cases of death or personal injury due to negligence or fraud).
In any case, Mehub's total liability for any claims shall not exceed the greater of $100 or the amount you paid to Mehub in the twelve (12) months preceding the event giving rise to the claim. If you are an EU Consumer, Mehub shall be liable under statutory terms for our willful misconduct and serious negligence.
(*) "EU Consumer" is defined as an individual acting for purposes outside their trade, business, craft, or profession, residing in the European Economic Area or the United Kingdom.
17. Dispute Resolution
17.1. Applicability. This Section 17 applies to: (a) Users in the United States; (b) Users outside the United States who are not EU Consumers filing claims against Mehub in the United States; or (c) EU Consumers filing claims against Mehub in the United States.
17.2. Informal Resolution. Before filing a claim against Mehub, you agree to email team@mehub.one with a description and evidence of the claim. We will attempt to resolve the dispute via email or phone. If we cannot resolve it within 60 days, you may request arbitration.
17.3. Arbitration Agreement. You and Mehub agree to resolve all claims through binding arbitration and waive the right to sue in court, except as specifically set forth in this section.
17.4. Opt-Out of Arbitration. You may opt out of the arbitration agreement within 30 days by emailing team@mehub.one. If you opt out, the arbitration terms will not apply to you.
17.5. Arbitration Deadline. All requests for arbitration must be submitted within one year after you become aware of the conduct giving rise to the claim.
17.6. Arbitration Procedure. Arbitration will be administered by NAM or LCIA, depending on your user status. The rules of the Arbitration Provider will govern the process.
17.7. Arbitration Fees. The rules of the Arbitration Provider will determine the payment of arbitration fees. We will not seek attorney fees unless the arbitrator determines your claim is unreasonable. Both parties agree that the Arbitration Provider has the discretion to reduce the amount or modify the timing of any administrative or arbitration fees payable under the current rules of the Arbitration Provider, provided that such modifications do not increase costs to you, and you agree to waive any objections to those fee modifications. Both parties also agree that a party's good-faith objection to fees imposed by the Arbitration Provider does not constitute a breach, waiver, or violation.
17.8. Exceptions. You or Mehub may file for injunctive relief without resorting to arbitration to prevent unauthorized use or misuse of the Services or violations or infringements of intellectual property rights.
17.9. Filing Period. Claims not subject to arbitration must be filed within one year. If applicable law prohibits a one-year filing period, any claims must be brought within the shortest period permitted by law.
17.10. NO CLASS ACTIONS. You may only bring claims on an individual basis and not as part of a class or representative action.
18. Miscellaneous/Additional Terms
18.1. Entire Agreement. This Agreement constitutes the entire agreement between you and Mehub regarding the subject matter herein and supersedes any prior or contemporaneous agreements, or terms and conditions relating to the subject matter. You agree that you are not relying on and have no remedies for any terms, conditions, representations, warranties, or statements other than those explicitly stated in this Agreement. You may also be subject to additional terms, policies, or agreements that may apply when you use other services, including third-party services. This Agreement does not create any rights for third parties, and no third party has any rights or standing to enforce this Agreement (unless otherwise provided in supplemental terms between you and a company in the Mehub group specifying that company's third-party rights to enforce this Agreement).
18.2. Governing Law; Jurisdiction for Dispute Resolution.
18.2.1. U.S. Users. If you are a U.S. User, this Agreement (including its existence, formation, validity, and termination) and the Services, as well as any disputes and matters arising from or related to this Agreement and the Services (including disputes and matters outside of contract), will be governed in all respects by the laws of the State of New York, without regard to its conflict of law provisions, except that the Federal Arbitration Act (“FAA”) will govern in the event of any conflict between the FAA and the laws of the State of New York related to Section 17. If Section 17 is found not applicable to you or your claim, or if you opt out of arbitration under Section 17.4, you and Mehub agree that all legal proceedings (except for small claims actions) arising from or related to this Agreement (including its existence, formation, validity, and termination) and/or the Services (including disputes and matters outside of contract) must be brought exclusively in the state or federal courts of New York, New York, and you and Mehub consent to personal jurisdiction and venue in those courts.
18.2.2. Non-U.S. Users. If you are a non-U.S. User, this Agreement (including its existence, formation, validity, and termination) and the Services, as well as any disputes and matters arising from or related to this Agreement and the Services (including disputes and matters outside of contract), will be governed in all respects by the laws of Ireland, without regard to its conflict of law provisions. If you are an EU Consumer, this provision does not limit or affect any rights you may have under any mandatory laws of the country where you reside. If Section 17 is found not applicable to you or your claim, or if you opt out of arbitration under Section 17.4, you and Mehub agree that, except as provided in Section 18.2.3, all legal proceedings (except for small claims actions) arising from or related to this Agreement (including its existence, formation, validity, and termination) and/or the Services (including disputes and matters outside of contract) must be brought exclusively in the courts of Ireland, and you and Mehub consent to personal jurisdiction and venue in those courts.
18.2.3. EU Consumers. If you are an EU Consumer and Section 17 does not apply to you or your claim, you and Mehub agree that any legal proceedings arising from or related to this Agreement (including its existence, formation, validity, and termination) and/or the Services (including disputes and matters outside of contract) may only be brought in courts located in Ireland or in the courts of competent jurisdiction in your habitual residence. If you are an EU Consumer and Mehub seeks to enforce any of its rights against you as a consumer, we may only do so in the courts of the jurisdiction where you reside.
18.3. Online Dispute Resolution for EU Consumers. If you are an EU Consumer, you may access the online dispute resolution platform of the European Commission here. Please note that Mehub is not committed to and does not have to use any alternative dispute resolution entity to resolve disputes with you.
18.4. Waiver, Severability, and Assignment. Our failure to enforce or delay in enforcing any provision of this Agreement shall not constitute a waiver of our right to enforce that provision later. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect, and an enforceable provision will be substituted that closely reflects our intention. You may not assign, transfer, or delegate this Agreement or any of your rights or obligations hereunder without our prior written consent, and any attempt to do so will be null and void. We may assign, transfer, or delegate this Agreement or any of our rights and obligations hereunder at our discretion to any affiliate or subsidiary or to any purchaser of any of our business or assets related to the Services, with prior written notice given thirty (30) days. If you are an EU Consumer, we will ensure that any assignment, transfer, or delegation does not adversely affect your rights under this Agreement.
18.5. Modifications. We may modify this Agreement from time to time and will post the latest version on our website. If a modification materially reduces your rights, we will notify you (for example, by emailing you or displaying a prominent notice in the Services). Such notice may specify a reasonable period after which the new terms will take effect. Modifications will not apply retroactively. For the avoidance of doubt, claims or disputes raised under this Agreement will be resolved according to Section 17 (Dispute Resolution) in effect at the time the claim or dispute is filed. By continuing to use or access the Services after any modifications become effective, you agree to be bound by the modified Agreement and any changes in pricing. If you do not agree with our changes, you must stop using the Services and cancel all paid Services.
18.6. Events Beyond Our Control. We will not be in breach of this Agreement or liable to you for any failure, in whole or in part, to perform the Services due to any act, circumstance, event, or issue that is beyond our reasonable control. This may include events such as acts of God, fire, government or state actions or regulations, war, civil unrest, terrorism, pandemic, riots, inability to communicate with third parties for any reason, failure or delay in the transmission of information, failure of any internet service provider, strikes, industrial actions, or lockouts, or any other reasons beyond our reasonable control.
